Role Synopsis:

To be part of a global treasury legal team and work with group treasury and bp risk and insurance. This position will be based in Houston, Texas.
This role’s major objective is to provide commercial and pragmatic legal advice and solutions to bp treasury located in London, Houston, Chicago and Singapore.
bp treasury’s purpose is to deliver optimal financing and risk management solutions that enable group strategy.
bp treasury includes liquidity (transactional banking, banking relationships, capital markets and digital), pensions, commercial funding and treasury trading.
bp risk and insurance is based in Houston and London and the person in this role would additionally work with people & culture, company secretarial and tax on an ad hoc basis.

Must have significant experience in treasury, corporate and/or finance matters. A self-starter, capable of handling a results-oriented and wide-ranging portfolio comprising both strategic, high value and routine case load work under demanding deadlines including working on:
  • Structuring of internal financings and corporate reorganizations, preparing and negotiating documentation with other parts of the group and implementation,
  • Treasury policies, procedures, outstanding authorities, and practices, as well as required internal approvals
  • Project and structured finance – optimization of funding structures for projects and assets and implementation of those structures
  • Standard form treasury documentation, Mergers and acquisition activity, finance related documentation, including term sheets, loan agreements, guarantees, letters of credit, counterindemnities, global master repurchase agreements, and commercial banking service agreements
  • Risk & insurance - insurance policies, reinsurance agreements, insurance service agreements, broking agreements, surety bonds and other insurance related matters and transactions including with respect to bp’s US captive insurance company
  • Pension investment activities, including investment manager agreements and limited partnership agreements for private equity investments, and providing advice on US federal securities law issues relating to pension investment activities
  • Finance and treasury related regulations and regulatory reforms including financial regulations in US (e.g., Dodd-Frank)
  • US federal securities' law matters for bp equity plans and savings (401(k)) plans including SEC Form S-8 registration statements and prospectuses and bp legal including insider trading laws and the Investment Advisers Act of 1940

Key accountabilities:

  • Provide first class legal advice and counsel to bp treasury, bp risk and insurance and others which is commercial, pragmatic, consistent, legally accurate, mitigates risk and is timely.
  • Be a proactive member of the global treasury legal team, working closely with Houston, London and Singapore based treasury lawyers.
  • Collaborate with our broad client group, working collaboratively to become an integral part of the client’s team.
  • Align with the bp code of conduct and internal governance such as bp treasury and group policies, procedures, guides, outstanding authorities etc.
  • Actively collaborate with other businesses and functions such as US and UK company secretarial, ethics & compliance, people & culture and across the global bp legal function.
  • Commit to values & behaviors and bp's diversity, equity and inclusion strategy and initiatives.
Essential education:
Law degree required. Must be licensed attorney in good standing in the US.

Essential experience and job requirements:
  • 3 – 5 years’ experience in financial transactions, federal securities laws and/or corporate law gained from a leading law firm, bank, financial institution or other large corporation. As well as having proven technical ability the person in this role be able to demonstrate:
  • Work with clients to become a trusted adviser, identify, assess, prioritize and handle complex legal issues, develop alternatives and proposals clearly defining and mitigating risk, ensure legal compliance, provide robust strategic and commercially practical advice and demonstrate good judgement,
  • Monitoring of legal developments and changes in law/practice for impact on treasury and other clients, in each case, being able to identify and assess the impact of changes and to recommend management strategy
  • Excellent communication and interpersonal skills, including the ability to successfully influence others, positively handle conflicts, develop strong relationships, and be a strong teammate yet able to work alone where required
